Private equity firm Silver Lake is reportedly in talks to acquire Workday, the human resources and financial management software company, in a transaction that could rank among the largest software buyouts ever. The discussions come at a critical moment for the technology industry, as traditional software companies face increasing pressure from the rapid expansion of artificial intelligence. Workday had a market value of roughly $43 billion before reports of the potential deal emerged. Its shares had already declined nearly 15% in 2026 and were around 40% below their 2024 peak. However, investor sentiment shifted sharply after news of the talks became public, sending Workday shares up about 18% and pushing its market value close to $51.1 billion. The stock was also marginally higher in premarket trading on Friday following the dramatic jump. According to people familiar with the matter, Silver Lake and Workday have been discussing a possible transaction for several months. The sources said negotiations remain confidential and stressed that there is no certainty an agreement will ultimately be reached. Silver Lake may also seek additional investors to help finance what could become a major technology-sector transaction. Analysts at Jefferies believe taking Workday private could give the company greater flexibility to accelerate its artificial intelligence strategy. They argue that Workday's core business is unlikely to be immediately displaced by AI and that private ownership could provide more room for long-term investment. Workday's situation reflects a broader debate surrounding the future of traditional software businesses. Investors are increasingly questioning whether AI-powered tools could automate functions previously handled by conventional enterprise applications. These concerns have contributed to weaker valuations and reduced deal activity across parts of the software industry. Workday itself remains a substantial enterprise technology provider, but its growth rate has slowed compared with earlier years. Founded in 2005 by Aneel Bhusri and David Duffield, the company went public in 2012 and has built a customer base of more than 11,500 organizations, including major companies such as Netflix. Workday reported approximately $9.6 billion in revenue and $2.9 billion in operating cash flow for fiscal 2025. In February 2026, Bhusri returned to the CEO position, replacing Carl Eschenbach after nearly three years under his leadership. His return came as Workday confronted mounting questions about AI, growth and the changing competitive landscape. A successful Silver Lake acquisition could therefore become a significant test of whether private ownership can help established software companies adapt faster to the AI era. The potential transaction could also challenge the increasingly popular “SaaSpocalypse” narrative, which predicts severe disruption for traditional software companies and their recurring-revenue models. Silver Lake has extensive experience in large technology investments, including its involvement in the $55 billion deal to take Electronic Arts private alongside Saudi Arabia's Public Investment Fund and Affinity Partners. The firm has also invested in major technology businesses including Dell Technologies, VMware and Qualtrics. The Workday discussions arrive shortly after Thoma Bravo agreed to acquire payroll software provider Dayforce in a deal valued at approximately $16 billion. Together, these transactions highlight renewed private-equity interest in software companies despite widespread uncertainty over how artificial intelligence will reshape the sector. If completed, a Workday takeover could become a defining deal for the software industry and a major indicator of how investors view the future of enterprise technology in the age of AI.
